Agreement to these terms
By accessing or using ClearPilot Business, you agree to these Terms of Service. If you use ClearPilot Business on behalf of a company or organization, you represent that you have authority to bind that organization to these terms.
The application
ClearPilot Business includes Walden Ltd software, websites, APIs, automations, implementation services, support services, documentation, and related features for operational intelligence, connected business systems, brokered credentials, briefings, alerts, and decision support.
Accounts and authorized users
You are responsible for maintaining accurate account information, protecting authentication factors, and ensuring that only authorized users access ClearPilot Business. You must promptly notify Walden Ltd of suspected unauthorized access, credential compromise, or misuse.
Customer data and permissions
You retain ownership of business data, content, configuration, credentials, runbooks, notes, and other materials you submit or authorize ClearPilot Business to access. You grant Walden Ltd the rights needed to host, process, secure, transmit, display, and use that data to provide and improve ClearPilot Business and perform requested services.
Connected systems and automated workflows
ClearPilot Business may access or act within third-party systems when configured or requested by authorized users. You are responsible for ensuring that you have the rights, permissions, licenses, and approvals needed for those integrations and workflows. Walden Ltd may log workflow activity for security, compliance, support, and audit purposes.
Acceptable use
You may not use ClearPilot Business to:
- Violate law, regulation, contract, or third-party rights.
- Access systems, data, accounts, or networks without authorization.
- Interfere with, disrupt, probe, or compromise ClearPilot Business or related infrastructure.
- Upload malicious code or attempt to bypass security controls.
- Misrepresent identity, authority, permissions, or workflow intent.
- Use ClearPilot Business in a way that creates unreasonable security, operational, or legal risk.
Third-party services
ClearPilot Business may integrate with QuickBooks Online, SingleOps, Samsara, email platforms, job management systems, fleet systems, and other third-party services. Those services are governed by their own terms, policies, permissions, and availability. Walden Ltd is not responsible for third-party systems outside its control.
Fees and engagements
Fees, implementation scope, pilot terms, renewal terms, support terms, and usage limits may be described in a separate order, statement of work, pilot agreement, or written arrangement. If there is a conflict between these terms and a signed written agreement, the signed agreement controls for that conflict.
Confidentiality
Each party may receive confidential business, technical, security, or operational information from the other. The receiving party must use reasonable care to protect confidential information and use it only for purposes related to ClearPilot Business or the parties' business relationship.
Security and availability
Walden Ltd uses reasonable safeguards designed to protect ClearPilot Business and customer data. ClearPilot Business may be unavailable from time to time due to maintenance, upgrades, incidents, internet disruptions, third-party service issues, or events outside Walden Ltd's control.
Disclaimers
Except as expressly stated in a separate written agreement, ClearPilot Business is provided "as is" and "as available." Walden Ltd disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation to the maximum extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, Walden Ltd will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising from or related to ClearPilot Business.
Suspension and termination
Walden Ltd may suspend or terminate access if required by law, if use creates a security or operational risk, if fees are unpaid, or if these terms or another applicable agreement are violated. Upon termination, access may end, but provisions that by their nature should survive will survive.
